Canadian Institute for Middle East and Gulf Studies (CIMEGS) Bylaws

The Canadian Institute for Middle East and Gulf Studies (CIMEGS) is established as a non-profit organization dedicated to promoting understanding, research, and education on the Middle East and Gulf regions. CIMEGS operates exclusively for educational and charitable purposes within the meaning of Canadian non-profit organization law.

Membership
Membership in the CIMEGS is open to individuals and institutions interested in furthering the organization’s mission. Detailed information about membership categories, rights, and obligations is available on the CIMEGS website at membership.

Board of Directors
The Board of Directors is responsible for overseeing the organization’s activities and governance. The Board shall establish policies and approve strategic plans.

Executive Management
The Executive Management is responsible for executing the organization’s activities, managing its financial affairs, and following up on the strategic plans set by the Board of Directors.

Meetings of the Association
The Annual General Meeting (AGM) of the members shall be held at least once per year at a time and place determined by the Board of Directors. Special meetings may be called by the Board or upon a written request by a significant percentage of the members, as specified in these bylaws.

Conflict of Interest and Compensation Policy
CIMEGS adopts a strict conflict of interest and compensation policy to ensure all decisions are made in the best interest of the organization without personal gain. Individuals must disclose any conflicts of interest and abstain from related decisions.

Books and Records
CIMEGS shall keep accurate books and records of accounts and minutes of the proceedings of its Board and committees.
